Terms of Service

The terms that govern your use of the VoiceCheq website, app and related services.

Effective October 16, 2026 VoiceCheq Inc.

These Terms of Service (“Terms”) govern access to and use of the VoiceCheq website at https://www.voicecheq.com, the VoiceCheq mobile application, and related services (collectively, the “Service”).

The Service is operated by VoiceCheq Inc. (“VoiceCheq,” “we,” “our,” or “us”), a Delaware corporation.

By creating an account or using the Service, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Service.

Section 01

About VoiceCheq

VoiceCheq is a voice-enabled payment system designed to help eligible users initiate payment instructions using voice commands, review proposed transactions, and authorize transactions through the authentication methods available in the application.

Depending on location and availability, the Service may use third-party payment infrastructure, identity verification, voice-processing technology, and device-level authentication.

VoiceCheq's availability does not guarantee that every payment method, financial institution, or transfer type is supported or legally available.

Section 02

Eligibility and Availability

You may use the Service only if you are at least 18 years old, live in the United States (including U.S. territories), and meet the applicable identity verification and legal eligibility requirements. VoiceCheq is not currently available to residents of New York or Texas.

You agree to provide accurate information and comply with applicable laws, sanctions, and relevant provider restrictions.

The availability of individual features depends on the states and territories we support, our payments partner, technical capabilities, and applicable law.

We may restrict access, decline transactions, or suspend a feature where reasonably necessary for legal compliance, provider requirements, fraud prevention, security, or operational reasons.

Section 03

Accounts and Account Security

You are responsible for providing accurate account information and taking reasonable steps to protect your credentials, device, and authentication methods.

You agree to notify us promptly if you suspect unauthorized account access or activity.

You must not share credentials with unauthorized individuals, impersonate another person, or attempt to access an account without permission.

You are responsible for activity conducted through your account to the extent provided by applicable law. This does not eliminate statutory protections relating to unauthorized electronic transfers, payment errors, or other rights that cannot legally be waived.

We may request additional information, restrict account functions, or suspend access when necessary to verify information, address security risks, or meet legal and provider obligations.

Section 04

Identity Verification and Compliance

Payments and certain other features require identity verification or other checks through our identity verification provider, Didit, and our payments partner, Bridge.

You agree to provide accurate information and complete reasonable verification procedures applicable to the Service.

We may delay, decline, restrict, or suspend an account or transaction when verification is incomplete, information appears inconsistent, suspicious activity is detected, or applicable law or provider requirements require action.

Completing verification does not guarantee transaction approval or continued availability of every feature.

Section 05

Voice Commands and Authorization

Voice recognition and language-processing technology may misunderstand names, amounts, or other details. Background noise, pronunciation, accents, connectivity, and technical errors may affect results.

Before you approve

You must review the transaction details before authorizing a payment.

Check the recipient, amount, applicable fees, and other material details displayed by the Service. Do not authorize a transaction if those details are incorrect or unclear.

A voice command or transcription alone does not establish that a particular payment was correctly understood or authorized. The transaction must follow the confirmation and authentication steps implemented in the Service.

You must not bypass required confirmation, security, or authentication controls.

To the extent permitted by law, VoiceCheq is not responsible for losses caused solely by a user's failure to review or correct transaction details that were clearly displayed for review before authorization. This provision does not exclude liability for VoiceCheq's own breach of duty, negligence, misconduct, or any liability that cannot legally be excluded.

Section 06

Payment Instructions and Processing

When you confirm a transaction and complete the required authentication steps, the Service may submit a payment instruction to the relevant payment provider or financial institution.

Acceptance, processing, settlement, delivery, cancellation, and reversal may depend on the provider, financial institution, payment network, destination, compliance checks, and other circumstances.

A transaction marked as submitted, pending, processing, or completed may represent a different stage of the payment process. Refer to the transaction status and explanations displayed by the Service and relevant provider.

VoiceCheq does not guarantee that every transaction will be accepted, settled, delivered within a specific period, or supported in every state or territory.

Do not assume a payment has been cancelled or reversed unless the Service or relevant provider confirms that status.

Section 07

Fees

Applicable transaction fees and other charges will be displayed before authorization where supported by the payment flow.

Review the amount, fees, and total shown before confirming a transaction.

Third-party providers may impose charges under their own terms.

We will disclose fees as required by applicable law and will not intentionally charge a fee that requires prior disclosure or authorization without satisfying that requirement.

If the displayed information appears incorrect, do not authorize the transaction. Contact [email protected] for assistance.

Section 08

Errors, Unauthorized Transactions, Cancellations, and Refunds

A payment instruction may become difficult or impossible to cancel after submission to a provider or payment network.

If you believe a transaction is unauthorized, incorrect, duplicated, incomplete, or otherwise problematic, contact [email protected] promptly and provide the transaction reference and relevant details. You should also contact the relevant financial institution or payment provider where appropriate.

We will review the issue and coordinate with the relevant provider where appropriate and within our role.

Cancellation, refunds, reversals, chargebacks, and dispute procedures depend on the type of transaction, the relevant provider terms, applicable law, and the circumstances.

Nothing in these Terms removes a user's non-waivable rights relating to unauthorized transactions, payment errors, refunds, complaints, or other statutory protections. You should report suspected unauthorized transactions promptly because applicable law or provider procedures may impose reporting deadlines.

Section 09

Acceptable Use

You may use the Service only for lawful purposes.

You must not use the Service to facilitate fraud, money laundering, terrorist financing, sanctions violations, unauthorized payments, identity theft, or other unlawful activity.

You must not impersonate another person, bypass identity verification or security controls, interfere with the Service, introduce malicious code, or attempt unauthorized access to our systems.

We may investigate suspected misuse and take proportionate action, including transaction restrictions, account suspension, or disclosures to authorities where required or permitted by law.

Section 10

Third-Party Providers

The Service may rely on third-party services, including:

  • Bridge for payments, balances, and bank transfers;
  • Didit for identity verification;
  • ElevenLabs for voice-processing functionality;
  • Supabase for authentication, database, file storage, and application infrastructure;
  • Resend for account emails;
  • Apple and Google for sign-in;
  • Cloudflare for running and protecting our website; and
  • Apple for device-level authentication through Face ID (or Touch ID on older iPhones).

The providers involved depend on the active implementation and the feature being used.

Third-party services may have separate terms, privacy policies, eligibility rules, and operational requirements. You agree to comply with terms applicable to your use of those services.

VoiceCheq is not responsible for every independent act, omission, outage, or decision of a third-party provider. However, nothing in these Terms excludes any responsibility that VoiceCheq has for its own acts, omissions, representations, contractual obligations, or statutory duties.

We do not guarantee that a third-party service will remain available, approve a transaction, or operate without interruption.

Section 11

Service Availability and Changes

We may modify, suspend, restrict, or discontinue features as reasonably necessary for development, maintenance, security, legal compliance, or operational reasons.

The Service may be affected by connectivity problems, maintenance, technical failures, payment-network interruptions, provider outages, or circumstances outside our reasonable control.

We do not guarantee uninterrupted availability or compatibility with every device, payment method, or location.

Where required by law, we will provide notice of material changes and honor applicable user rights.

Section 12

Intellectual Property

The Service, including its software, design, branding, and original materials, is owned by VoiceCheq Inc. or its licensors, except for third-party materials and rights.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended lawful purpose.

You may not use VoiceCheq's trademarks or intellectual property without permission, except as permitted by law. These Terms do not transfer ownership of the Service to you.

Section 13

Privacy

Our Privacy Policy explains how personal information is processed, disclosed, and retained.

You can read it at https://www.voicecheq.com/privacy.

Where applicable law requires consent for a particular data-processing activity, these Terms do not replace that consent.

Section 14

Suspension and Termination

You may stop using the Service at any time. You can delete your account in the app under Settings → Delete account, or request account deletion by contacting [email protected]. Before an account can be deleted, any payments in progress need to finish and your balance needs to be $0.

We may restrict, suspend, or terminate access where reasonably necessary to comply with law, respond to a provider restriction, investigate suspected fraud, address a security risk, enforce these Terms, or protect users and the Service.

Where appropriate and legally permitted, we will provide notice or an opportunity to resolve the issue.

Closing an account does not automatically cancel pending transactions or require deletion of records that must lawfully be retained. Existing payment disputes should be addressed through the applicable support and provider processes.

Section 15

Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis.

We do not guarantee uninterrupted operation, error-free voice recognition, compatibility with every device, availability in every location, or acceptance and settlement of every transaction.

Voice recognition may produce incorrect results, and third-party payment services may delay, decline, reverse, or fail to process transactions.

Nothing in these Terms excludes a warranty, consumer protection, or other right that cannot legally be excluded.

Section 16

Limitation of Liability

To the maximum extent permitted by applicable law, VoiceCheq Inc. and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to use of the Service.

To the maximum extent permitted by applicable law, the aggregate liability of VoiceCheq Inc. for claims arising from or relating to the Service will not exceed the greater of the amount of fees you paid directly to VoiceCheq for the Service during the twelve months preceding the event giving rise to the claim or US$100.

This limitation does not apply where prohibited by law, including to liability that cannot lawfully be excluded or limited, or to any mandatory remedy relating to unauthorized payments, fraud, intentional misconduct, or other non-waivable rights.

These limits apply only to the extent permitted by the law applicable to the claim. They do not remove rights or remedies that applicable law requires to remain available.

Section 17

No Personal Guarantee by Founders or Team Members

The Service is operated by VoiceCheq Inc. These Terms create obligations between you and VoiceCheq Inc., not a personal guarantee by any individual founder, shareholder, director, officer, employee, or contractor.

To the maximum extent permitted by applicable law, claims arising solely from the company's contractual obligations must be brought against VoiceCheq Inc. and do not, merely because of a person's position or association with the company, create personal contractual liability for that person.

Nothing in this section releases any individual from liability for that person's own conduct where applicable law imposes personal liability, or limits liability for fraud, intentional misconduct, personal guarantees, or other obligations that cannot lawfully be excluded.

Section 18

Indemnification

To the extent permitted by applicable law, you agree to be responsible for third-party claims and reasonable losses, costs, and expenses to the extent directly caused by your unlawful use of the Service, fraud, unauthorized activity, or material violation of these Terms.

This obligation does not apply to the extent a claim results from VoiceCheq's own breach of law, negligence, misconduct, or other conduct for which responsibility cannot legally be shifted to you.

Any indemnification obligation will be applied only to the extent lawful and proportionate to the conduct giving rise to the claim.

Section 19

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory law applicable to a user requires otherwise.

Subject to mandatory consumer protections and applicable law, disputes relating to these Terms may be brought before the state or federal courts located in Delaware, United States.

Before commencing formal proceedings, the parties are encouraged to contact one another in good faith to attempt to resolve the dispute. This does not prevent a user from pursuing urgent relief, filing a regulatory complaint, or exercising a mandatory right to bring a claim in another forum.

Nothing in this section excludes or limits mandatory rights available to users under the laws applicable to them.

Section 20

Changes to These Terms

We may revise these Terms as the Service, technology, providers, or legal requirements change.

We will update the date above when revised Terms are published and provide notice or obtain consent where required by law.

Where permitted by law, continued use after the effective date of revised Terms constitutes acceptance of those revisions. If you do not agree to revised Terms, you should stop using the affected Service.

Section 21

Severability and Entire Agreement

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable where permitted by law. If it cannot be made enforceable, that provision will be severed, and the remaining provisions will continue in effect to the extent permitted by law.

These Terms, together with the Privacy Policy and any applicable additional terms presented to you, govern your use of the Service, subject to mandatory law and any separate agreements that apply to particular payment services.
